Hidroelectrica continues to strictly comply with the obligations applicable to issuers

    Hidroelectrica acknowledges the Brokers Association’s concern for compliance with capital market rules and the chronological order of stock market reporting, a concern materialized by the transmission to the media of a press release entitled “Hidroelectrica’s Conduct with respect to the requirements of the BVB Code and the Corporate Governance Code”.

    However, before formulating conclusions regarding the issuer’s conduct, it would have been useful to make an elementary distinction between a current report transmitted through the official BVB/ASF system and a press release, especially considering the association’s statute and its field of activity.

    For clarity, we would like to clarify that the document published by Hidroelectrica on May 8, 2026 was transmitted as a current report through regulated capital market channels and appears on the company’s website in the “Current Reports” section, not in the “Press Releases” section.

    Also, the report was published at the end of the trading session, in accordance with the practices and rules applicable to listed issuers, precisely to avoid any impact on the trading of the company’s shares.

    The chronology of the events is public and easily verifiable. On May 8, 2026, the Ministry of Energy publicly communicated the intention to supplement the agenda of the AGM. At that time, Hidroelectrica had not yet received the formal request and the related documentation necessary for the analysis and complete reporting to the market. This aspect was even signaled by the current report sent to BVB and ASF.

    Subsequently, on May 11, 2026, the official request was sent to the company, and on May 15, 2026 Hidroelectrica published the current report on the completed convening notice of the AGM, with explicit mention of the procedural stages completed.

    Under these circumstances, it is difficult to support the existence of “reverse information”, as long as the issuer reacted through the regulated market channel to information already in the public domain before its official transmission to the company. Hidroelectrica will continue to strictly comply with the obligations applicable to listed issuers and the transparency standards of the capital market, including in situations where some public interpretations seem to treat stock market reports and press releases as the same thing.
