Romgaz announces the completion of the formalities related to the transaction regarding the takeover of the production activity of Azomureș, in accordance with the Transfer of Business Agreement (TBA) signed on May 29, 2026 between Romgaz, as the buyer, and Azomureș, as the seller, according to a statement.
With the completion of these formalities, Romgaz enters a new stage, focused on integrating the taken over activity and preparing the necessary steps to resume the production activity of Azomureș. Given the period of interruption of activity, the resumption of production requires the completion of some preliminary technical stages, including the assessment of the condition of the installations, the performance of the necessary checks and tests, the performance of maintenance and remediation works, where applicable, as well as the verification of the safety systems, with a view to a phased restart, in safe conditions.
The integration of the Azomureș activity will be carried out in accordance with Romgaz’s strategic objectives and principles of financial discipline, aiming at the efficient use of resources and the creation of long-term value.
Through this transaction, Romgaz consolidates its vertical integration strategy and creates the premises for the development of a value chain in which natural gas produced in Romania can be exploited in industrial products with added value.

“We are now entering the operational integration stage. The steps we will take aim at preparing for the resumption of production and will be carried out rigorously and in stages, with particular attention paid to the safety of employees, facilities and the entire industrial activity. Safety will remain an essential criterion in all decisions and actions we will take”, added Aristotel Jude, Deputy General Manager of SNGN Romgaz SA.
The transaction benefited from specialist assistance during the analysis, structuring and finalization process, with Romgaz being assisted by KPMG ADVISORY SRL, as financial consultant and CMS Cameron McKenna Nabarro Olswang LLP SCP, as legal consultant and TÜV Austria Romania, as technical consultant. The involvement of consultants with experience in complex transactions supported a rigorous process of evaluating the relevant financial, legal and commercial aspects and contributed to the substantiation of the decisions related to the transaction.
