PPC Group announces that its wholly owned subsidiary Kotsovolos (Next Gen Retail Services Single Member) has signed an agreement to acquire 100% of the shares of Romanian electronics and home appliance retailer Flanco (Flanco Retail S.A.) from its shareholders, Iulian Stanciu (98%) and Dragoș Sîrbu (2%), for an amount corresponding to a company valuation of 35 million euros.
Replicating in Romania the successful model implemented by PPC Group in Greece through the acquisition of Kotsovolos, this move marks the entry into a rapidly growing market of electrical and electronic products – valued at 3.6 billion euros – and at the same time represents the acquisition of the second largest physical store network in the country.
The transaction is in line with the PPC Group’s Strategic Plan for the period 2026-2030, accelerating the international expansion and transformation of Kotsovolos into a leading regional player and integrated provider of electronics, home solutions and value-added services in South-Eastern Europe, aiming to create an integrated ecosystem of technology, services and energy solutions that will improve the daily lives of its customers and actively support the energy transition in the region.
Through this agreement, Kotsovolos acquires a strong national network of 150 physical stores in over 100 cities in Romania, with a total retail area of almost 60,000 sqm, a third-party logistics platform of 37,500 sqm, over 1,200 qualified employees and over 14 million customer visits annually. In a market where traditional brick-and-mortar stores play an important role, accounting for approximately 70% of sales, the extended geographical presence ensures direct access and a close relationship with customers, through a network covering over 55% of Romanian households.
At the same time, Flanco will continue to expand its activity, while its physical network and logistics infrastructure will serve as a critical “last mile” platform for the PPC Group, acting as the final physical contact point for direct distribution and customer service. In this context, PPC Romania will develop a close cooperation with Flanco, replicating PPC’s successful model of joint actions and synergies with Kotsovolos in Greece. Through Flanco stores, PPC Romania’s integrated green transition solutions, including residential photovoltaic installations, heat pumps, electric vehicle (EV) charging stations and smart energy solutions, will be promoted, distributed and technically supported.
This expansion of the Group unlocks synergies on multiple levels in joint procurement, supply chain optimization and digital service development, offering Romanian customers an improved omnichannel experience, specialized technical support at home, as well as packages consisting of home appliances and energy supply services.
“The agreement for the acquisition of Flanco marks an important change for Kotsovolos: it consolidates itself as a strong regional player in South-Eastern Europe, exporting a successful retail model to a market with huge prospects, exceptional human capital and technology-savvy consumers, such as Romania. The acquisition of Flanco, as part of the PPC Group Strategic Plan for the period 2026-2030, significantly accelerates the implementation of our business plan, which aims to create an integrated ecosystem of technology, services and energy solutions that improve the daily lives of our customers in South-Eastern Europe and actively support the energy transition in the region. Flanco brings to the Group a long-standing presence on the Romanian market, a recognized brand and, most importantly, people with deep market expertise and knowledge. We are investing in this legacy and, together with the company’s team and management, we will shape the future,” says Kotsovolos CEO Christos Karagiannakis.
Kotsovolos will finance the acquisition entirely from available own funds, without debt financing. The transaction is expected to close by the end of 2026 and is subject to obtaining the necessary approvals from the relevant regulatory authorities, as well as the fulfillment of customary conditions agreed between the parties.
