Romgaz announces that it has reached an agreement in principle with Azomureș regarding the main commercial terms of the transaction to take over the operational activity of the plant, through a business transfer, and the completion of the negotiations is estimated for the end of this month.
“SNGN Romgaz SA informs shareholders and investors that, following negotiations with representatives of S.C. Azomureș S.A., the parties
have reached an agreement in principle regarding the main commercial terms of the transaction having as its object the takeover by Romgaz of the operational activity of Azomureș, through a business transfer (Transfer of a Going Concern). The agreement in principle reflects the commercial understanding reached by the parties on the main elements of the transaction, including its structure, price and commercial mechanisms related to the period between the signing of the contract and the effective completion of the transaction”, Romgaz announced, in a statement sent to the Bucharest Stock Exchange.
Romgaz estimates that the negotiations will be completed and the company’s Board of Directors’ approval for the signing of the contract related to the transaction will take place by the end of May 2026 at the latest.
Over the past year, the Azomureș plant, owned by the Swiss group Ameropa, has held continuous discussions with Romgaz regarding a possible acquisition of the industrial platform in Târgu Mureș.
The leader of the “Alternativa 2002” union within Azomureș, Emil Almașan, recently revealed that around 800 of the plant’s 921 employees are on technical unemployment. In this context, the unionists have requested the resumption of the platform’s activity or at least a viable solution that would protect jobs at the only plant in Romania that produces fertilizers for agriculture, according to Agerpres.
SNGN Romgaz SA is the largest producer and main supplier of natural gas in Romania. The company is listed on the Bucharest Stock Exchange (BVB). The main shareholder is the Romanian state with a 70% stake.
In 2013, Romgaz expanded its scope of activity by acquiring the Iernut thermal power plant, thus becoming a producer and supplier of electricity.
