The Competition Council is analyzing the transaction through which Greenchem Romania intends to take over some assets belonging to the companies Inovator Smart Choice, STD EST Logistic and AD Complex Logis.
Greenchem Romania produces, distributes and sells AdBlue solution – bulk and packaged. At the same time, the company sells urea, used as a raw material in the production process of AdBlue solution.
Inovator Smart Choice, STD EST Logistic SRL and AD Complex Logis SRL distribute AdBlue solution on the Romanian market.
The assets to be taken over concern the customer base that makes regular purchases of AdBlue solution from sellers based on contracts concluded with them and the respective contracts, as well as the customer base that places one-off orders for AdBlue from sellers.
GreenChem Romania reported solid financial results for 2025 (its first full year of operation) and is in the midst of a strategic expansion through acquisitions. The company was founded in Timisoara in October 2024 and is part of the European Agrofert group. It specializes in the production and distribution of the AdBlue anti-pollution solution for diesel engines. In its first full year of operation on the Romanian market, the company recorded a turnover of 34.89 million lei and a net profit of approximately 1 million lei.
Agrofert, agri-food and chemical group, is owned and controlled by Czech billionaire and politician Andrej Babiš, the current prime minister of the Czech Republic. The group has annual revenues of over 8.6 billion euros and has expanded strongly, including in Romania (through the acquisition of large companies such as East Grain).
